Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. PRIOT retains the right to display the work in our portfolio unless otherwise agreed in writing.
Projects may incorporate third-party open-source libraries or frameworks. These remain subject to their respective licenses, and clients are responsible for complying with those licenses.
All quotes and proposals are valid for 30 days from the date of issuance unless otherwise stated. Prices may vary based on changes to project scope.

Late payments may result in suspension of work and may incur interest charges as specified in the agreement.
Any changes to the agreed project scope must be documented and agreed upon in writing. Additional work beyond the original scope will be quoted and billed separately.

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We offer a warranty period as defined in the project agreement to fix bugs or issues directly caused by our work.
The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall PRIOT's total liability to you for all claims exceed the total amount paid by you to PRIOT in the three (3) months preceding the claim.
You agree to indemnify, defend, and hold harmless PRIOT and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Site or services, your violation of these Terms, or your violation of any third-party rights.
Clients may terminate a project agreement by providing written notice. Cancellation terms and any applicable fees will be outlined in the individual project agreement. All work completed up to the point of termination will be billed accordingly.
We reserve the right to terminate or suspend access to our services immediately, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

PRIOT shall not be liable for any delay or failure to perform its obligations if such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet outages, or government actions.
These Terms, together with any project-specific agreements or statements of work, constitute the entire agreement between you and PRIOT regarding our services and supersede all prior communications, understandings, or agreements relating to the subject matter herein.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
Failure by PRIOT to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of PRIOT.
